1. General Overview
These terms and conditions govern the services provided by Hayley Kim Studios, a full service creative brand agency. By engaging with Hayley Kim Studios you agree to these terms.

2. Service Offerings
We offer a range of services, including but not limited to:

• Brand Strategy and Visual Identity Design

• Website Design and Development

• Social Media Content Creation, Planning, and Management

• Brand and Personal Photography

• Print Design and Management (with trusted suppliers)

3. Payment Terms

3.1. Deposits
To secure your project slot and initiate work, a 50% non-refundable deposit is required for all services. This deposit guarantees your project will be scheduled for the agreed-upon date.

3.2. Deposit Movement
Deposits can be moved once within the same month, subject to availability. However, if you request to move your project to another month, a fee of 25% of the total project cost will be charged due to potential loss of income caused by rescheduling, unless otherwise discussed and agreed with Hayley Kim Studios in advance.

3.3. Website Design Payment Structure
For website design projects, the payment will be structured as follows:

• 50% deposit upfront to secure the project slot.

• 25% payment upon design approval.

• 25% payment upon completion of the build and go-live of the website.
  

3.4. Social Media Plans
Full payment (100%) for social media plans is required one month in advance to ensure the work is prepared and ready for the agreed-upon month of launch.

3.5. Photography Studio Hire
If studio hire is required for photography sessions, the full cost of the studio hire must be paid upfront to secure the booking of the space.

3.6. Photography Payment Structure
For photography sessions (brand or personal), payment is split into two parts:

• A 50% non-refundable deposit is required upfront to secure the session date.

• The remaining 50% is due immediately after the shoot, and prior to the release of any final images.

Please note: This final payment is required regardless of whether photo selections have been made. Final images will not be edited or delivered until full payment has been received. This ensures that the post-production schedule can begin without delay.

4. Project Timeline and Delays
We aim to complete all projects according to the mutually agreed-upon timeline. However, delays caused by factors outside of our control, such as client delays in feedback or approval, supplier delays, or technical difficulties, may result in an extended timeline. We will notify you of any such delays as soon as possible.

5. Client Responsibilities
For projects to proceed smoothly, the client must provide the following in a timely manner:

• Clear instructions, feedback, and necessary assets (e.g., brand assets, text, images).

• Approval of design concepts and other deliverables within the designated timeframe.

• Any necessary third-party access (e.g., social media account credentials, hosting accounts).

6. Revisions and Feedback

• For brand strategy, visual identity design, and other design-related projects, a set number of revisions are included in the project scope. Additional revisions beyond the agreed-upon amount will incur additional charges.

• Timely feedback and decisions are essential for the timely delivery of your project. Delays in feedback may lead to an extended project timeline.

7. Ownership and Copyright
Upon final payment, you will own the rights to the final deliverables of the project. However, Hayley Kim Studios retains the right to use any completed project as part of our portfolio or for promotional purposes, unless explicitly stated otherwise in writing by the client.

8. Cancellation Policy
If the client decides to cancel a project after the deposit has been paid, the deposit is non-refundable. In cases where significant work has been completed, an additional cancellation fee may apply to cover work completed.

9. Liability
While Hayley Kim Studios strives to ensure that all work is completed to a high standard, we cannot be held liable for any errors or omissions that occur after the final project delivery and payment. It is the client's responsibility to thoroughly review all deliverables and provide feedback or approval in a timely manner.

10. Confidentiality
Both parties agree to keep any confidential information related to the project private and will not disclose it to any third party without written consent, except where required by law.

11. Indemnity
The client agrees to indemnify Hayley Kim Studios against any claims, damages, losses, or expenses arising from any legal issues related to the content provided by the client, including, but not limited to, violations of copyright, trademark, or intellectual property laws.

12. Force Majeure
Neither party shall be held liable for delays or failure to perform their obligations if such delay or failure is caused by events beyond their reasonable control, including but not limited to natural disasters, war, strikes, or other force majeure events.

13. Governing Law
These Terms and Conditions are governed by the laws of England, United Kingdom, and any disputes shall be subject to the exclusive jurisdiction of the courts of England, United Kingdom

14. Amendments to Terms and Conditions
Hayley Kim Studios reserves the right to modify or update these terms and conditions at any time. Clients will be notified of any changes, and continued engagement after such notification constitutes acceptance of the updated terms.
